Introduction

Welcome to YCIK Digital. These Terms and Conditions govern your use of our website at ycik.co.za and the digital services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions in full.

Please read these terms carefully before using our website or engaging our services. If you do not agree with any part of these terms, please do not use our website or engage our services.

These Terms and Conditions are governed by the laws of the Republic of South Africa, including but not limited to the:

  • Electronic Communications and Transactions Act 25 of 2002 (ECT Act)
  • Consumer Protection Act 68 of 2008 (CPA)
  • Protection of Personal Information Act 4 of 2013 (POPI Act)

1. Definitions

For the purposes of these Terms and Conditions:

Term Definition
“YCIK Digital” Refers to our business, its owners, employees, and representatives
“Client” Any individual or business that engages YCIK Digital for services
“Services” All digital services offered by YCIK Digital including web design, SEO, hosting, maintenance, branding, AI solutions, and app development
“Website” ycik.co.za and all its pages and content
“Agreement” The contract formed between YCIK Digital and the Client upon acceptance of a project proposal
“Project” Any specific scope of work agreed upon between YCIK Digital and the Client
“Deliverables” The completed work products produced by YCIK Digital for the Client
“Intellectual Property” All creative works, designs, code, content, and materials produced by YCIK Digital

2. Use of Our Website

By accessing and using our website you agree to the following:

  • You will use our website only for lawful purposes
    You will not use our website in any way that violates applicable local, national, or international laws or regulations
  • You will not attempt to gain unauthorised access to any part of our website or its related systems
  • You will not transmit any unsolicited or unauthorised advertising or promotional material
  • You will not reproduce, duplicate, copy, or exploit any part of our website without our express written permission
  • You will not use our website to transmit harmful, offensive, or fraudulent content

We reserve the right to restrict or terminate access to our website at our sole discretion without notice.

3. Our Services

YCIK Digital provides the following digital services to clients:

  • Website Design & Development

  • Website Maintenance & Support
  • Visual Branding & Brand Kit Design
  • Social Media Integration
  • AI Chat Assistant Setup & Management

The specific scope, deliverables, timeline, and pricing for each project are outlined in a written Project Proposal provided to the Client prior to commencement of work.

4. Project Proposals and Agreements

4.1 Proposal Validity All project proposals issued by YCIK Digital are valid for 30 days from the date of issue unless otherwise stated. After this period, pricing and availability are subject to change.

4.2 Acceptance of Proposal A project agreement is formed when the Client:

  • Provides written acceptance of the project proposal via email or WhatsApp, and
  • Pays the required deposit as outlined in the proposal

4.3 Scope of Work The agreed project scope is defined in the accepted proposal. Any work requested outside of the agreed scope will be treated as a separate project or change request and may attract additional fees.

4.4 Change Requests Any changes to the agreed project scope must be submitted in writing. YCIK Digital will assess the impact on timeline and cost and provide a written change request quote before proceeding. No out-of-scope work will commence without written approval from the Client.

5. Payment Terms

5.1 Deposit A non-refundable deposit of 50% of the total project fee is required before any work commences. This deposit secures your project slot in our schedule and covers initial design and development work.

5.2 Balance Payment The remaining 50% balance is due upon project completion and before the final website or deliverable is launched or handed over to the Client.

5.3 Monthly Services Monthly services including hosting, maintenance, SEO, and AI management are billed on the 1st of each month in advance. Failure to pay monthly fees within 7 days of the due date may result in suspension of services.

5.4 Late Payments Invoices not paid within the agreed payment terms will attract an interest charge of 2% per month on the outstanding balance. YCIK Digital reserves the right to suspend all services until outstanding amounts are settled.

5.5 Accepted Payment Methods

  • Electronic Funds Transfer (EFT)
  • Credit and debit card payments
  • PayFast
  • Other payment methods as agreed in writing

5.6 Invoicing All invoices will be issued electronically via email. It is the Client’s responsibility to ensure that the correct billing email address is provided and maintained.

6. Project Timeline and Delivery

6.1 Timeline Estimates Project timelines provided in proposals are estimates based on the agreed scope and the Client’s timely provision of content, feedback, and approvals. YCIK Digital will make every reasonable effort to deliver within the estimated timeline.

6.2 Client Responsibilities Timely delivery of projects depends on the Client’s cooperation. The Client is responsible for:

  • Providing all required content, images, and information promptly
  • Reviewing and providing feedback within 5 business days of receiving design previews
  • Providing clear and consolidated feedback — not piecemeal changes over extended periods
  • Making payments on time as agreed

6.3 Delays YCIK Digital is not responsible for project delays caused by:

  • Late provision of content or information by the Client
  • Delayed feedback or approvals from the Client
  • Third party services outside our control
  • Force majeure events

If a project is delayed by more than 30 days due to lack of Client response or cooperation, YCIK Digital reserves the right to:

  • Invoice for work completed to date
  • Place the project on hold until the Client is ready to proceed
  • Charge a project restart fee if work recommences after an extended delay

7. Revisions and Amendments

7.1 Included Revisions Each project includes a specified number of revision rounds as outlined in the project proposal. Revisions are defined as reasonable adjustments to the agreed design or content — not fundamental changes to the project scope or direction.

7.2 Additional Revisions Revisions beyond the agreed number will be charged at our standard hourly rate of R250 per hour or as quoted per revision round.

7.3 What Constitutes a Revision A revision is a single round of consolidated feedback applied to the current version of the project. Multiple separate feedback sessions count as multiple revision rounds.

8. Intellectual Property

8.1 Client Content The Client retains ownership of all content, images, logos, and materials provided to YCIK Digital for use in the project. The Client warrants that they have the legal right to use all content provided and indemnifies YCIK Digital against any claims arising from the use of Client-provided content.

8.2 YCIK Digital Work Product Upon receipt of full and final payment, the Client is granted full ownership of the completed website design and agreed deliverables. This includes the design, layout, and content specific to the Client’s project.

8.3 Underlying Code and Technology Ownership of underlying frameworks, platforms, plugins, themes, and code libraries used in the development of the project remains with their respective owners and is subject to their individual licensing terms. YCIK Digital does not transfer ownership of third-party tools or platforms.

8.4 Portfolio Rights YCIK Digital reserves the right to display completed work in our portfolio, on our website, and on social media for promotional purposes unless the Client explicitly requests confidentiality in writing prior to project commencement.

8.5 Pre-Payment YCIK Digital retains full ownership of all work product until final payment is received in full. No work may be used, published, or distributed by the Client until all outstanding payments have been settled.

9. Web Hosting Services

9.1 Hosting Plans YCIK Digital offers web hosting services on a monthly subscription basis. Hosting fees are payable in advance on the 1st of each month.

9.2 Uptime We strive to maintain 99.9% server uptime but cannot guarantee uninterrupted service. Scheduled maintenance and circumstances beyond our control may result in temporary downtime. We will make reasonable efforts to notify Clients of planned maintenance in advance.

9.3 Hosting Suspension Hosting services will be suspended if payment is not received within 7 days of the due date. Suspended websites will be restored within 24 hours of payment being received.

9.4 Hosting Termination Either party may terminate hosting services with 30 days written notice. Upon termination, the Client is responsible for migrating their website to an alternative hosting provider. YCIK Digital will provide reasonable assistance with migration at our standard hourly rate.

9.5 Data Backup While YCIK Digital performs regular backups as part of our hosting service, the Client is encouraged to maintain their own independent backups. YCIK Digital cannot be held liable for data loss in the event of a server failure or security breach.

9.6 Acceptable Use Hosting services may not be used for any unlawful, harmful, or abusive purpose including but not limited to distributing spam, malware, or illegal content. Violation of this policy will result in immediate termination of hosting services without refund.

9.7 Cancellation policy Hosting service cancellation is a 30day period in which service will continue to operate. All monthly debit orders within this 30day period will continue until the 30day notice period expires.

10. Website Maintenance Services

10.1 Maintenance Plans YCIK Digital offers monthly website maintenance plans as outlined on our services page. The scope of each plan is defined at the time of agreement.

10.2 Content Updates Content update hours included in maintenance plans are provided on a use-it-or-lose-it basis and do not roll over to the following month.

10.3 Emergency Support Emergency support outside of business hours is available on Premium maintenance plans only or at our standard call-out rate for other clients.

10.4 Maintenance Exclusions Our maintenance plans do not cover:

  • Major redesigns or new functionality development
  • Recovery from damage caused by the Client’s own actions
  • Third party plugin or theme licensing fees
  • Domain renewal fees unless specifically included in the plan

11. SEO Services

11.1 No Guarantees YCIK Digital does not guarantee specific search engine rankings or positions. SEO results are influenced by numerous factors outside our control including search engine algorithm changes, competitor activity, and the Client’s industry and market.

11.2 Timeline SEO is a long-term strategy. Clients should expect to see meaningful results over a period of 3–6 months of consistent effort. We will provide monthly reports tracking progress against agreed targets.

11.3 Client Cooperation Effective SEO requires the Client’s cooperation in providing timely approval for content, implementing recommended website changes, and maintaining a consistent content strategy.

12. AI Services

12.1 AI Chat Assistants AI chat assistant services are provided on a setup plus monthly management basis. The AI assistant is trained on information provided by the Client and is only as accurate as the information supplied.

12.2 AI Limitations YCIK Digital does not warrant that AI services will be error-free or that AI-generated responses will always be accurate. The Client accepts responsibility for reviewing and approving the information used to train their AI assistant.

12.3 Data Usage Information provided to train AI assistants will be handled in accordance with our Privacy Policy and applicable data protection laws including the POPI Act.

13. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project and not to disclose such information to third parties without prior written consent. This obligation survives the termination of any project agreement.

14. Limitation of Liability

14.1 General Limitation To the fullest extent permitted by South African law, YCIK Digital’s total liability to the Client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim.

14.2 Exclusions YCIK Digital shall not be liable for:

  • Loss of revenue, profits, or business opportunities
  • Loss of data or information
  • Indirect or consequential losses of any kind
  • Losses arising from third party services or platforms
  • Losses arising from the Client’s own actions or omissions

14.3 Force Majeure YCIK Digital shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control including but not limited to load shedding, internet outages, natural disasters, or government actions.

15. Termination

15.1 Termination by Client The Client may terminate a project at any time by providing written notice. The deposit paid is non-refundable. Any work completed beyond the deposit value will be invoiced and payable within 7 days of termination.

15.2 Termination by YCIK Digital YCIK Digital reserves the right to terminate a project or service agreement if:

  • The Client fails to make payment within the agreed terms
  • The Client behaves in an abusive or unreasonable manner towards our team
  • The Client requests work that is illegal, unethical, or violates our policies
  • The Client fails to provide necessary content or cooperation for an extended period

15.3 Effect of Termination Upon termination all work product created to date remains the property of YCIK Digital until all outstanding invoices are settled in full.

16. Dispute Resolution

In the event of a dispute arising from these Terms and Conditions or any project agreement, both parties agree to first attempt to resolve the matter amicably through good faith negotiation.

If a dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to a mutually agreed mediator before pursuing legal action.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa and any legal proceedings shall be subject to the jurisdiction of the South African courts.

17. Amendments to These Terms

YCIK Digital reserves the right to update or amend these Terms and Conditions at any time. Updated terms will be published on our website with a revised “Last Updated” date. Your continued use of our website or services after any amendments constitutes your acceptance of the updated terms.

We encourage you to review these Terms and Conditions periodically.

18. Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

19. Entire Agreement

These Terms and Conditions together with any accepted project proposal constitute the entire agreement between YCIK Digital and the Client with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings.
